Declaration of Conformity

Declaration of Conformity by the Management Board and the Supervisory Board of DEUTZ AG according to Article 161 of the German Stock Corporation Act

Pursuant to section 161 AktG, the Board of Management and Supervisory Board of DEUTZ AG declare that DEUTZ AG has complied with the recommendations of the government commission for the German Corporate Governance Code (DCGK) as amended on 28 April 2022 since issuing the last declaration of conformity in March 2024 with one exception from Section G11, Sentence 1 DCGK since the Supervisory Board does no longer have the possibility to account for extraordinary developments regarding the remuneration of the Executive Board to an appropriate extent. DEUTZ AG will continue to comply with the recommendations of the DCGK in the future, with this exception from Section G11, Sentence 1 of the DCGK. The company no longer considers the granting of special bonuses to be appropriate in view of the “best practice” in the market.
